Welcome to CertLabs PBQ ("CertLabs," "we," "us," or "our"). These Terms of Use ("Terms") govern your access to and use of our website, platform, services, and all related content (collectively, the "Services").

By accessing or using CertLabs, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services.

1. Acceptance of Terms

By creating an account, subscribing to our services, or accessing any part of CertLabs, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy.

2. Description of Services

CertLabs provides an online learning platform specializing in:

• Performance-Based Questions (PBQs) for IT certification preparation
• Interactive virtual labs and simulations
• Practice exams for certifications including CompTIA, Cisco, AWS, and others
• Educational content, videos, and study materials
• AI-powered analytics and progress tracking

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time without prior notice.

3. Account Registration and Eligibility

3.1 Age Requirement

You must be at least 13 years of age to use CertLabs. If you are under 18, you must have permission from a parent or legal guardian to use our Services.

3.2 Account Information

When you register for an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access to your account
• Be responsible for all activities that occur under your account

3.3 Account Sharing

Account sharing is strictly prohibited. Each subscription is for individual use only. You may not share your login credentials with others or allow multiple users to access your account.

4. Subscription Plans and Payments

4.1 Subscription Plans

CertLabs offers various subscription plans including:

• Individual Track - Access to a single certification track
• All Access - Unlimited access to all certification tracks
• Lifetime Access - One-time payment for perpetual access

4.2 Free Trial

We offer a 3-day free trial for new users. You will not be charged during the trial period. If you do not cancel before the trial ends, your subscription will automatically convert to a paid plan at the selected billing frequency.

4.3 Billing and Payment

• All fees are in U.S. Dollars (USD) unless otherwise stated
• Payment is processed through secure third-party providers (Stripe and PayPal)
• Subscriptions automatically renew at the end of each billing cycle unless cancelled
• You authorize us to charge your payment method for all fees incurred
• Prices are subject to change with 30 days' notice

4.4 No Refunds

4.5 Cancellation

You may cancel your subscription at any time by contacting support at support@certlabs.com. Upon cancellation:

• You will retain access until the end of your current billing period
• No refund will be provided for any remaining time in your billing period
• You will not be charged for subsequent billing cycles
• You are responsible for canceling your subscription; failure to use the service does not constitute cancellation

5. Acceptable Use Policy

5.1 Permitted Use

You may use CertLabs solely for lawful purposes and personal educational advancement.

5.2 Prohibited Activities

You agree NOT to:

• Share, distribute, or resell CertLabs content without authorization
• Copy, reproduce, or create derivative works from our materials
• Use automated tools (bots, scrapers) to access or extract content
• Reverse engineer, decompile, or disassemble any part of the Services
• Upload malware, viruses, or malicious code
• Attempt to gain unauthorized access to our systems or user accounts
• Interfere with or disrupt the integrity or performance of the Services
• Impersonate any person or entity or misrepresent your affiliation
• Use the Services for any commercial purpose without our written consent
• Violate any applicable laws or regulations

6. Intellectual Property Rights

6.1 Ownership

All content on CertLabs, including but not limited to text, graphics, logos, images, videos, software, code, simulations, and trademarks, is the exclusive property of CertLabs or its licensors and is protected by copyright, trademark, and other intellectual property laws.

6.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial educational purposes.

6.3 Restrictions

You may not:

• Download or copy content except where explicitly permitted
• Modify, adapt, or create derivative works
• Distribute, publish, or sublicense content to third parties
• Use content for training competing services or AI models

7. User-Generated Content

If you submit feedback, suggestions, questions, or other communications to CertLabs ("User Content"), you grant us a worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, and distribute such content for any purpose.

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your personal information.

9. Disclaimers and Limitation of Liability

9.1 Educational Purpose Only

CertLabs provides educational content and practice materials. We do not guarantee that using our Services will result in passing any certification exam or achieving any specific outcome.

9.2 "AS IS" Basis

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. We disclaim all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

9.3 No Guarantee of Accuracy

While we strive for accuracy, we do not warrant that:

• The content is error-free or up-to-date
• The Services will be uninterrupted or secure
• Defects will be corrected
• The platform is free from viruses or harmful components

9.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CERTLABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION.

Our total liability to you for all claims arising from your use of the Services shall not exceed the amount you paid to CertLabs in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless CertLabs, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Any User Content you submit

11. Termination

11.1 Termination by You

You may terminate your account at any time by contacting us or using the account cancellation feature.

11.2 Termination by Us

We reserve the right to suspend or terminate your account and access to the Services immediately, without prior notice, for:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Non-payment of fees
• Any reason we deem necessary to protect CertLabs or other users

11.3 Effect of Termination

Upon termination:

• Your right to use the Services immediately ceases
• We may delete your account and data
• You remain liable for all outstanding fees
• Provisions that by their nature should survive termination will remain in effect

12. Third-Party Links and Services

CertLabs may contain links to third-party websites or services. We are not responsible for the content, accuracy, or practices of any third-party sites. Your use of third-party services is at your own risk and subject to their terms and policies.

13. Certification Exam Disclaimer

CertLabs is an independent educational platform and is not affiliated with, endorsed by, or sponsored by CompTIA, Cisco, Microsoft, AWS, or any other certification body. All certification names, trademarks, and logos are the property of their respective owners.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the website. Your continued use of the Services after changes are posted constitutes your acceptance of the revised Terms.

We will notify you of material changes via email or prominent notice on the platform.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

15.2 Dispute Resolution

Any disputes arising from these Terms or your use of the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law.

15.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

16. Miscellaneous

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and CertLabs regarding the Services.

16.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

16.5 Force Majeure

We shall not be liable for any failure to perform due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, internet failures, or government actions.
